This is a standard agreement entered into between Dia Ad Co., Ltd. (hereinafter referred to as the “Platform”) and participating medical institutions (hereinafter referred to as “Partners”) for the provision of medical information, marketing support, and mutual cooperation through the “K-Dia” platform. DiaAd Co., Ltd. (hereinafter referred to as the ‘Platform’) and __________________ The following (‘Partners’) enter into the following agreement for the provision of medical information, marketing support, and mutual cooperation through the ‘K-Dia’ platform.
Article 1 (Purpose)
The purpose of this Agreement is to define the rights and obligations of both parties regarding the ‘Vendor’ joining ‘K-Dia,’ a global medical tourism/beauty platform operated by the ‘Platform,’ posting content, and utilizing functions within the platform.
Article 2 (Scope of Platform Service Provision)
Global Promotion: Support for 8 languages and multilingual content display.
Media utilization: Support for hospital branding through ‘Dia Play (short form)’ and ‘Dia News’.
Consultation and Matching: Provides real-time inquiry, AI diagnostic integration, and a foreign patient appointment management system.
statistical data: Provides user access statistics and consultation conversion data.
Article 3 (Obligations of Tenants)
Accuracy of information: ‘Partners’ must accurately register hospital information, medical staff experience, procedure prices, and event details, and update them immediately if any changes occur.
Compliance with medical laws: ‘Partners’ must manage all advertising content posted on the platform to ensure compliance with the Medical Act of the Republic of Korea and the advertising regulations of the target country.
Customer service manners: We respond sincerely and promptly to inquiries from users attracted through the platform, and refrain from excessive soliciting during the patient recruitment process.
Article 4 (Global Target Special Agreement)
Translation support: The ‘Platform’ may translate and post the ‘Vendor’s’ Korean materials into multiple languages, and the ‘Vendor’ may request corrections for professional errors in the translated content.
Patient Management: Regarding consultations and payments arising from the attraction of foreign patients, ‘vendors’ strive to provide services that take into account the specific characteristics of the relevant country (culture, interpretation, etc.).
Article 5 (Fees and Expenses)
When an overseas patient visits a ‘vendor’ to receive a procedure or surgery (including initial and follow-up consultations), 20% of the total payment is to be deposited into the ‘platform’ (VAT excluded).
Settlement shall be performed by summing up the collected amounts generated from the 1st to the last day of each month and depositing (settlement) into the account designated by the ‘Platform’ on the 5th of the following month. If the settlement date falls on a holiday, the deposit shall be made on the next business day.
The ‘platform’ requires the ‘vendor’ to issue a tax invoice.
The ‘vendor’ must settle the exact amount and, if it violates or conceals this, must pay five times the medical fee to the ‘platform’ company as a penalty, limited to patients who are discovered.
In addition, ‘vendors’ will be immediately banned from using the platform and permanently expelled.
Separate advertising products will be processed separately upon mutual agreement.
Simple store entry is free, but separate advertising fees are incurred for top ad placement (CPT) or short-form production support.
Article 6 (Copyright and Usage Rights of Content)
Photos, videos, etc. registered on the platform by ‘vendors’ are permitted for the ‘platform’ to use for the promotional purposes of K-Dia (SNS, external marketing, etc.).
When producing short-form content (Dia Play), if both companies jointly produce it, the copyright is jointly owned, but the right to use it for marketing is determined by mutual agreement.
Article 7 (Confidentiality and Information Protection)
Both companies shall not disclose to third parties the other party's business information and user personal information learned through this agreement, and shall comply with personal information protection laws and global data protection regulations (GDPR, etc.).
Article 8 (Contract Period and Termination)
The term of this agreement shall be [1] years from the date of signing, and shall be automatically extended under the same conditions if no objection is raised by one month prior to the expiration of the term.
If one party violates its obligations or undermines the external credibility of the platform due to medical accidents, etc., the ‘Platform’ may immediately suspend the right to join or terminate the contract.
